This summary is for convenience. The full terms below are what apply.

1. Agreement to these terms

These Terms & Conditions (“Terms”) are an agreement between you and SOURCEsem Inc. (“SOURCEsem”, “we”, “us”, “our”). They apply to every order placed through our websites and checkout pages and cover Profile To Profit, the Done-For-You Profile Fix, and any other digital products, tools, templates, guides and services we sell (together, the “Products”). A “customer” is any person or company that places an order with us through our secure checkout.

Placing an order means you fully accept these Terms. By completing a purchase, checking an agreement box at checkout, or using a Product, you agree to these Terms. If you don’t agree, please don’t buy or use the Products.

2. Who can buy

To buy or use a Product, you must:

be at least 18 years old and able to enter a binding contract;
give us accurate information at checkout; and
be allowed to receive the Product under the laws that apply to you.

If you buy on behalf of a company, you confirm you’re authorized to accept these Terms for that company.

Our Products and services are meant for adults running businesses. If we learn that a buyer is under 18, we’ll refund the order and end access to the Product. If we learn that someone under 18 has joined our email list, we’ll remove them right away.

3. What you get and how long you have access

What’s included

Profile To Profit includes the online checkup tool, the Photos, Reviews, Hours & Posts guide, and the 30-Day Booster Plan, as described on the sales page at the time you buy.

The Done-For-You Profile Fix includes the work listed on its sales page at the time you buy.

Delivery

Digital Products are delivered online. Your access details are sent to the email address you enter at checkout, so please check it carefully for typos. If you don’t receive your access email within 24 hours, check your spam folder, then email info@sourcesem.com.

For the Done-For-You Profile Fix, the work starts within 1 business day of gaining manager access to your Google Business Profile, and your profile will be completed in 7–10 business days. The timeline begins once you’ve completed the onboarding form and given manager access.

Access period

You get access for as long as we offer the Product. “Lifetime” or “ongoing” access means the life of the Product, not forever.

Updates

Fixes, improvements and small additions to the Product you bought are included at no extra cost. A new product, such as a rebuilt version sold under a new name or version number (for example “2.0”), is a separate purchase.

Delivery changes

We may change how we deliver a Product, for example by moving it to a different platform. If that happens, you keep access at no extra cost. If you need to do anything, we’ll give you at least 30 days’ notice.

If we stop offering a Product

If we discontinue a Product or close the business, we’ll give you at least 90 days’ notice where reasonably possible. We’ll also try to give you downloadable copies of the materials you bought.

4. Your license

When you buy, we give you a limited, non-exclusive, non-transferable, revocable license to use the Product for:

your own business; and
reviewing the profiles of businesses you own, manage or provide services to.

You may share the results and action plans the tool produces for a business with that business.

You may not:

share your access link or login, or give the tool or PDFs to anyone outside your business;
copy, resell, sublicense, rent or give away any part of a Product;
post Product materials on public websites, file-sharing services or social media;
copy, rebuild or reverse-engineer the tool, its rules or its design to make a competing product;
use Product materials to teach a paid course or training without our written permission; or
remove copyright, trademark or other notices.

5. Our content, brand and AI

We or our licensors own the Products and everything in them, including the software, scoring rules, text, PDFs, graphics, logos and the SOURCEsem name. They are protected by copyright, trademark and other laws. Buying a Product gives you the license above, not ownership.

You may not use our content, brand, or the name, image, voice or likeness of anyone on our team to train, prompt or build artificial-intelligence or machine-learning systems. That includes deepfakes, voice cloning, synthetic images, training datasets and automated content generators. You may not use them to create content that imitates us, either.

If you misuse our content, we may end your access without a refund and take legal action, including seeking damages and a court order to stop the misuse.

6. Payments

When payment is due: payment is due in full when you place your order.
How you can pay: by credit or debit card, using the options shown at checkout.
Processing: payments are handled by Stripe or another third-party payment processor, and their terms also apply to your payment. Your card details are encrypted and sent directly to the processor. We don’t see or store your full card number. The security of the payment system is the processor’s responsibility.
Price: prices are in U.S. dollars unless shown otherwise. We may change prices at any time. The price you pay is the price shown when you place your order, and later changes never affect a purchase you’ve already made.
Taxes: you’re responsible for any sales tax, VAT, GST or similar taxes. We collect them where the law requires.
Payment disputes: if something is wrong with a charge, please email us first at info@sourcesem.com so we can fix it quickly. If you file a chargeback without contacting us first, we may suspend your access while the dispute is open. If the dispute is decided in our favor, we may recover the processor’s dispute fee where the law allows.

7. Refund policy

All sales are final. This applies to every Product we sell, including Profile To Profit, the Done-For-You Profile Fix and any other digital product or service. Digital Products can be used as soon as you buy them, and service work begins once you’ve given access. We don’t offer refunds, exchanges or credits for change of mind, not using a Product, results, or problems caused by your own device or internet connection.

Problems on our side: if you can’t access what you bought, or we can’t deliver it because of a problem on our side, email info@sourcesem.com within 30 days of purchase. If we can’t fix it, we’ll refund you. If you’re charged twice by mistake, we’ll refund the duplicate charge.

Your legal rights: nothing in this policy limits any refund or cancellation rights you have under consumer protection laws where you live. To use those rights, contact us and tell us where you’re located.

8. Educational use only

Our digital Products are educational. Profile To Profit applies best-practice rules to the information you enter. It isn’t an official audit, and it doesn’t read or change your Google Business Profile.

We’re marketers, not lawyers, accountants or financial advisors, and nothing in our Products is legal, tax, financial or other professional advice. Buying a digital Product doesn’t create a client, agency or fiduciary relationship between us.

The Done-For-You Profile Fix is a service. With the manager access you give us, we make the changes to your Google Business Profile described on its sales page. You stay the owner of your profile and can remove our access at any time.

9. No guaranteed results

We don’t guarantee any specific result, including rankings, placement in the map pack, calls, visits, sales, revenue or profit. Local search results depend on many things outside anyone’s control, such as the searcher’s distance from your business, your competition, Google’s systems and how they change, and how you put the recommendations into practice.

Any scores, examples, case studies or figures in our marketing are for illustration. They aren’t promises or typical results. If we show testimonials, they reflect real customers’ own experiences. We’ll disclose if anyone was paid or given something for a testimonial, and their results aren’t a prediction of yours.

10. Google and other third parties

SOURCEsem is not affiliated with, endorsed by or sponsored by Google LLC. Google, Google Business Profile and Google Maps are trademarks of Google LLC. We mention them only to describe what our Products work with.

Third-party services can change their features, rules, limits or category lists at any time, and we aren’t responsible for those changes. We update our Products when we reasonably can.

Our Products may link to third-party websites or tools. We don’t control them and aren’t responsible for their content, terms or privacy practices.

If we ever earn a commission from a recommendation, we’ll say so.

11. Technology and availability

You need an internet connection, a current web browser with JavaScript turned on, and a PDF reader. The checkup tool saves your answers only in your own browser. If you clear your browser data or switch devices, your saved answers are gone.

We aim to keep the Products available, but we can’t promise uninterrupted access. We don’t give refunds for temporary outages, maintenance, or problems caused by third-party providers.

12. Your responsibility

You’re responsible for:

the decisions you make and any changes you make to your profile or business;
following the rules of the platforms you use, including Google’s guidelines; and
following the laws that apply to your business.

Business decisions carry risk, and you take on that risk when you act on what you learn from our Products.

13. Limitation of liability

As far as the law allows:

The Products are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Our total liability for any claim related to the Products will not be more than the amount you paid us for the Product the claim is about.
We are not liable for any of the following, even if we were told they might happen: indirect, incidental, special, consequential or punitive damages; lost profits, revenue or business opportunities; or loss of data.

Some places don’t allow these limits, so some of them may not apply to you. Where that’s the case, our liability is limited as far as the law permits.

14. Indemnification

You agree to defend and indemnify SOURCEsem and its owners, team members and contractors, and to hold them harmless, against claims, losses and costs (including reasonable legal fees) that arise from:

your misuse of a Product;
your breach of these Terms; or
your violation of any law or anyone else’s rights.

15. Ending access

We may suspend or end your access if you materially break these Terms, for example by sharing or reselling a Product, committing fraud, or harassing our team.

Except for serious violations, we’ll email you first and give you 5 business days to fix the problem. If access ends because you broke these Terms, you won’t get a refund, and you must stop using and delete the materials.

Sections that by their nature should continue after access ends will continue. These include ownership, limitation of liability, indemnification and dispute resolution.

16. Resolving disputes

Talk to us first

Before starting any formal claim, email info@sourcesem.com and describe the problem. We’ll try to resolve it informally within 30 days.

Binding arbitration

Please read this section carefully. It affects your rights, including your right to go to court.

If we can’t resolve a dispute informally, it will be settled by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Santa Barbara County, California, or by phone or video if you prefer. Either of us may still bring a qualifying claim in small-claims court, or ask a court to stop misuse of intellectual property.

No class actions

Disputes will be handled only individually, not as a class, consolidated or representative action. You and we both give up the right to a jury trial.

If this class-action waiver is found unenforceable, this whole arbitration section does not apply, and the rest of these Terms still do.

Opting out

You can opt out of arbitration by emailing info@sourcesem.com within 30 days of your first purchase. Include your name, the email you used to buy, and a clear statement that you’re opting out of arbitration. Opting out doesn’t change any other part of these Terms.

17. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Any matter that isn’t subject to arbitration will be handled in the state or federal courts in Santa Barbara County, California.

If you live outside the U.S., you’re responsible for following your local laws, and you keep any consumer rights that your local law says can’t be waived.

18. Events outside our control

We aren’t responsible for delays or failures caused by events beyond our reasonable control. These include natural disasters, pandemics, war, government action, internet or power outages, cyberattacks, and failures of hosting or payment providers.

19. Changes to these terms

We may update these Terms from time to time. The “Last updated” date shows the latest version. Changes apply to new purchases as soon as they’re posted. For important changes, we’ll tell existing customers by email or with a notice on our site, and the changes take effect for them 30 days later. If you don’t agree with a change, you can stop using the Products. You can ask us for earlier versions at any time.

20. Privacy

Our Privacy Policy explains what information we collect and how we use it. It’s part of these Terms. By placing an order, you confirm you’ve read it.

When you enter your email address on one of our sites, you may receive emails with information and offers about our Products and services. You can unsubscribe at any time with the link at the bottom of every email.

21. Electronic communications

You agree that we can send receipts, notices and other messages electronically, and that they count as “in writing”. Clicking a purchase button or checking an agreement box counts as your electronic signature.

22. General

These Terms, together with our Privacy Policy and the product description at the time you buy, are the whole agreement between us about the Products.

Severability: if any part of these Terms is found unenforceable, it will be changed only as much as needed to make it enforceable, and the rest stays in effect.
No waiver: if we don’t enforce a provision, we haven’t given up the right to enforce it later.
Transfer: we may transfer these Terms as part of a merger, acquisition or sale of the business. You may not transfer them without our written consent.
Headings: headings are only for convenience.
Export: you agree not to export our Products in violation of U.S. export laws.

23. Accessibility

We aim to make our Products usable by everyone and work toward WCAG 2.1 AA guidelines. If something isn’t accessible to you, email info@sourcesem.com, and we’ll do our best to help or offer another format.
